UVProfit Affiliate Network: Terms and Conditions

Welcome to UVProfit, a leading affiliate network offering a wide range of high-converting offers. By signing up and participating in our affiliate or advertiser programs, you agree to comply with the following Terms and Conditions. Please read them carefully.
1. Agreement
These Terms and Conditions constitute a legally binding agreement (“Agreement”) between you (“Affiliate,” “Advertiser,” or “you”) and UVProfit (“Company,” “we,” “us,” or “our”). By participating in the UVProfit network, you agree to be bound by these Terms and Conditions.
2. Eligibility
To participate in the UVProfit network as an affiliate or advertiser, you must be at least 18 years old and capable of entering into a legally binding agreement. You must provide accurate and complete information during the registration process.
3. Account Registration and Maintenance
- Affiliate Account: As an affiliate, you are responsible for maintaining the confidentiality of your account information. You agree to provide accurate details and update them as necessary.
- Advertiser Account: As an advertiser, you must provide accurate and complete campaign information and promptly notify us of any changes.
- Account Termination: We reserve the right to suspend or terminate your account at any time for violating these Terms and Conditions or engaging in fraudulent or prohibited activities.
4. Affiliate Responsibilities
- Traffic Quality: Affiliates must generate legitimate and quality traffic. Fraudulent, low-quality, or incentivized traffic is strictly prohibited.
- Compliance: Affiliates must comply with all applicable laws, regulations, and industry standards, including data protection, privacy, and advertising guidelines.
- Prohibited Activities: The following activities are prohibited:
- Fraudulent clicks, leads, or conversions
- Use of misleading or deceptive marketing practices
- Unauthorized use of third-party trademarks or copyrighted materials
- Promoting illegal, harmful, or offensive content
5. Advertiser Responsibilities
- Campaign Setup: Advertisers are responsible for providing accurate campaign details, including targeting, creatives, and payout terms.
- Compliance: Advertisers must ensure that their campaigns comply with all applicable laws and regulations, including data protection and advertising standards.
- Prohibited Content: Advertisers must not promote illegal, harmful, or offensive content. UVProfit reserves the right to reject any campaign that violates these standards.
6. Payment Terms
- Affiliates: UVProfit offers weekly payments to affiliates who generate quality traffic and meet the minimum payout threshold of $1,000. Payments are made via PayPal unless otherwise agreed upon.
- Advertisers: Advertisers are billed based on the agreed-upon terms for each campaign. Payment schedules and methods will be coordinated with the account manager.
- Payment Disputes: Any payment disputes must be raised within 30 days of the payment date. UVProfit will review and address disputes promptly.
7. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information shared during the course of their partnership. This includes but is not limited to campaign details, business strategies, and proprietary technologies.
8. Intellectual Property
All content, trademarks, and materials provided by UVProfit remain the property of the company. Affiliates and advertisers are granted a limited, non-exclusive license to use these materials solely for the purpose of promoting UVProfit offers.
9. Termination
- Voluntary Termination: Either party may terminate this Agreement with written notice. Affiliates must cease promoting UVProfit offers immediately upon termination.
- Involuntary Termination: UVProfit reserves the right to terminate accounts without notice if any of the Terms and Conditions are violated.
- Effect of Termination: Upon termination, any outstanding payments will be made according to the payment schedule, subject to the terms of this Agreement.
10. Limitation of Liability
UVProfit is not liable for any indirect, incidental, or consequential damages arising out of your participation in the affiliate or advertiser programs. Our liability is limited to the amount of fees paid or payable under this Agreement.
11. Indemnification
You agree to indemnify and hold UVProfit, its officers, directors, employees, and agents harmless from any claims, damages, losses, or expenses arising out of your breach of this Agreement, violation of laws, or infringement of third-party rights.
12. Modification of Terms
UVProfit reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to you, and your continued participation in the program after such changes constitutes your acceptance of the modified terms.
13. Governing Law and Dispute Resolution
This Agreement is governed by the laws of [Insert Jurisdiction]. Any disputes arising under this Agreement will be resolved through binding arbitration in accordance with the rules of [Insert Arbitration Body].
14. Miscellaneous
- Entire Agreement: These Terms and Conditions constitute the entire agreement between you and UVProfit and supersede any prior agreements or understandings.
- Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: The failure of UVProfit to enforce any provision of this Agreement will not be considered a waiver of its right to enforce such provision in the future.
